The Offer in Compromise (OIC) is one of the most misunderstood programs in the tax code. Advertised aggressively, it is not a forgiveness program for anyone who asks — it is a structured settlement for taxpayers who genuinely cannot pay their full balance.
The IRS accepts an offer when it represents the most it can reasonably expect to collect within a defined period. The agency evaluates your reasonable collection potential: the value of your assets plus your future income, calculated using strict formulas on Forms 433-A (OIC) and 433-B (OIC).
There are three grounds for an offer. Doubt as to collectibility is the most common — you cannot pay the full amount. Doubt as to liability challenges the amount owed. Effective tax administration applies when collecting the full amount would create an economic hardship or be fundamentally unfair.
The process requires full financial disclosure, a non-refundable application fee, and an initial payment. The offer amount must equal or exceed your reasonable collection potential, which is why most accepted offers are not the "pennies on the dollar" advertised on late-night television.
The honest odds: the IRS accepts a minority of submitted offers, and the program is best suited for taxpayers with limited assets and income below their basic living expenses. For many filers, an installment agreement or currently-not-collectible status is a more realistic path.
If you are considering an offer, work with a representative who will give you an honest assessment rather than a sales pitch. A realistic plan, even if it is not an OIC, is worth more than a false promise.
